Danske Bank's Articles of Association is a fundamental document that contains both statutory provisions and provisions on Danske Bank's constitution and operations. The Danish Companies Act and the Danish Financial Business Act set forth the legal framework with which the Articles of Association must comply.

Amendment of the Articles of Association
Only the general meeting may amend the Articles of Association, and amendments require a two-thirds majority of both the votes cast and the voting shares present.
The Companies Act permits the Board of Directors to make certain amendments to the Articles as a result of decisions made by the general meeting, however.
