Danske Bank’s share capital has undergone certain changes since the merger with RealDanmark in 2000. In the first half of 2000, the nominal size of the Bank’s shares was DKr100. At an extraordinary general meeting on October 30, 2000, it was reduced to DKr10 per share.

At the end of March 2008, the share capital totalled DKr 6,988,042,760 and shares numbered 698,804,276. The number of shares outstanding at the end of March 2008 was 684,508,678 and the average number of shares outstanding was 685,448,755.

In connection with the acquisition of Sampo Bank, Danske Bank made an issue of 60,500,000 shares on November 15, 2006.

2006
Danske Bank made an issue of 60,500,000 shares, November 15, 2006. After this increase the share capital totalled DKr 6,988,042,760 and shares numbered 698,804,276.

2005
At the end of 2005, the share capital totalled DKr6,383,042,760, and shares numbered 638,304,276 after the cancellation of 33,961,476 shares repurchased under the 2004 buyback programme. The number of shares outstanding at the end of 2005 was 626,704,866, and the average number of shares outstanding in 2005 was 627,573,906.

Repurchase 2004
In 2004, Danske Bank repurchased shares of a total market value of DKr5.0bn, comprising 33,961,476 shares at an average price of 147.23. This reduced the number of shares outstanding from 672,265,752 at the end of 2003 to 638,304,276 at the end of 2004. At the next general meeting, the Group will propose that the shares bought back in 2004 be cancelled.

Repurchase in 2003
To optimise its capital structure, Danske Bank repurchased shares of a total market value of DKr5.0bn in 2003.

The share buyback raised the Group’s earnings per share by 0.3 of a percentage point. In the first half of 2003, the Group bought back shares worth DKr2.0bn, comprising 16,303,664 shares at an average price of 122.7. In the second half of 2003, the Group repurchased shares worth DKr3.0bn, comprising 23,106,433 shares at an average price of 129.8. This reduced the number of shares outstanding from 711,675,849 at the end of 2002 to 672,265,752 at the end of 2003. At the next annual general meeting, the Group will propose that the shares bought back in 2003 be cancelled.

Repurchase 2002
In 2002, the Bank repurchased shares worth DKr3 billion, and the shares were cancelled in July 2003.

The merger in 2000
Upon the merger in 2000, RealDanmark shareholders were offered 4.144 newly issued shares in Danske Bank at a nominal DKr10 per share for each share of RealDanmark they held with a nominal value of DKr100.

At the end of 2000, before the deadline for exchanging the shares, 94.5% of RealDanmark shareholders had accepted the exchange. That corresponded to 229,969,747 shares at DKr10. The last phase of the exchange took place in the spring of 2001, with the issue of 9,366,750 shares at DKr10.

By December 2000, the Bank had repurchased its own shares worth a total of DKr5 billion. The shares were cancelled in July 2001. At the end of 2001, the number of shares outstanding stood at 732,000,000 at DKr10 per share.
