IR policyIR policy

This is Danske Bank's current Investor Relations policy, approved by the Board of Directors on January 26, 2006.

Objective
It is the policy of the Danske Bank Group to inform investors, analysts and other interested parties (IR stakeholders) openly and fully about the Group's circumstances in accordance with legal requirements and on the basis of corporate governance standards and recommendations from relevant organisations. The Group strives at all times to meet the highest standards in this area and places an emphasis on the quality, consistency and continuity of the information disclosed.

The IR department passes on information from IR stakeholders to the Bank's executive management.

Responsibility for IR
Danske Bank's Executive Board is responsible for the presence of an Investor Relations department, whose head is responsible for the Group's compliance with the Investor Relations Policy.

IR information policy
It is Danske Bank's IR policy:

  • to publish inside information (information that can have a significant effect on the Bank's share price) through the Copenhagen Stock Exchange and immediately afterwards on the Group's IR website so that the information is disseminated to everyone simultaneously (e-mail alerts regarding stock exchange announcements are also sent to subscribers)
  • to make other published information available to the public on the Group's IR website
  • to strive for open, transparent communications
  • to ensure continuity and high quality in the information disclosed
  • to be accessible to all IR stakeholders

For a period of three weeks before the planned release of quarterly financial reports (the silent period), the Group does not comment on matters related to the Group's general financial results or expectations.

IR communications media and sources

1. Internet
Danske Bank publishes information on its website in order to make it available to all investors. As the main source of information about the Danske Bank Group, the IR department's website publishes both current information and archives of previously released information. The site appears in both English and Danish, and new information is published simultaneously in the two languages.

2. Financial statements, stock exchange announcements and other releases
The publication of this information takes place though the Copenhagen Stock Exchange in accordance with the rules set forth in Danish legislation. Immediately afterwards, the information is published on the Group's website. Supplementary information such as fact books and white papers is also published on the Web site.

3. Conference calls, webcasts and press conferences
Upon the release of financial statements and other major news, the Bank holds conference calls or video transmissions that can be followed from the website at the same time as the meeting, along with accompanying presentations. The transcripts of these meetings, including subsequent questions and answers, are also available on the website a few days afterwards. Similarly, press conferences can be seen on the Web sites, where the speeches and presentations are also published.

4. External conferences and presentations
Speeches and presentations from conferences, roadshows, investor meetings and the like are available on the website at the same time as the event or as soon as possible afterwards.

5. Capital markets day and other events arranged by Danske Bank
Danske Bank holds capital markets days and similar events as needed. All IR stakeholders may take part in such events. Information about coming events is published on the IR website. Speeches and presentations are available on the website at the same time as the event or as soon as possible afterwards.

6. Meetings with IR stakeholders and roadshow activities
It is the Group's policy to hold meetings with interested investors and analysts regularly in both large and small groups and individually. At such meetings, the Bank's general circumstances are discussed, but inside information is never disclosed.

7. Day-to-day contact
The IR department is responsible for day-to-day contact with investors and analysts by telephone and e-mail. Questions are answered insofar as they do not require the disclosure of inside information, conflict with considerations of competitiveness or are otherwise damaging to the Group.

8. Annual general meeting
The annual general meeting is Danske Bank's highest-ranking decision-making body, at which the Group's shareholders can make statements, ask questions of the executive management, and exercise their influence by voting on the issues on the agenda. The chair's report is transmitted from the website.
